Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and Emlekezz (“we”, “us”, “our”) and govern your access to and use of the Emlekezz website and application (the “Service”). By signing in or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old and able to form a binding contract to use the Service. By using it, you represent that you meet these requirements and that the information you provide is accurate.

2. The service

Emlekezz is a personal knowledge tool: you save notes, tasks, ideas, and expenses, and an AI assistant helps you recall them. It is provided for your personal use and may evolve over time.

3. Your account

You sign in with your Google account. You are responsible for maintaining the security of that account and for all activity that occurs under your access. Notify us promptly at support@emlekezz.com if you suspect any unauthorized use.

4. Fees

The Service is currently provided free of charge. We may introduce paid plans or features in the future; if we do, we will make the pricing clear before you are charged, and your continued use of any paid feature will be subject to the terms presented at that time.

5. Your content and licence

You retain all rights to the content you save (“Your Content”). You grant us a limited, non-exclusive, worldwide licence to host, store, process, and display Your Content solely to operate and provide the Service to you — including transmitting it to our AI provider to generate embeddings and answers, as described in our Privacy Policy. You are responsible for Your Content and represent that you have the rights necessary to save and process it through the Service.

6. Acceptable use

You agree not to:

• use the Service for any unlawful, infringing, or harmful purpose;
• store or transmit content you do not have the right to use;
• upload malware or attempt to disrupt, overload, reverse-engineer, or gain unauthorized access to the Service or any other user’s data;
• use the Service to build a competing product or to scrape or resell its functionality.

7. AI output

The assistant generates answers from your saved content and can be incomplete or wrong. Treat its output as a helper, not as authoritative, legal, financial, medical, or other professional advice. Verify anything important before relying on it.

8. Our intellectual property

The Service itself — including its software, design, branding, and the Emlekezz name and logo — is owned by us and protected by intellectual property laws. These Terms grant you a personal, non-transferable, revocable right to use the Service; they do not transfer any ownership of the Service to you.

9. Third-party services

The Service relies on third parties (for example Google for sign-in, OpenAI for AI features, and our hosting and database providers). Your use may also be subject to their terms, and we are not responsible for their services. See our Privacy Policy for details on the data shared with them.

10. Availability and changes

The Service is provided “as is” and “as available”. We may add, modify, suspend, or discontinue any part of it at any time, with or without notice. We are not liable to you for any modification, suspension, or discontinuation of the Service.

11. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any data will not be lost. Keep your own backups of anything you cannot afford to lose.

12. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or USD 50.

13. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, or your violation of these Terms.

14. Termination

You may stop using the Service and request deletion of your data at any time by emailing support@emlekezz.com. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Sections that by their nature should survive termination (such as content licence for already-processed data, disclaimers, limitation of liability, and indemnification) will survive.

15. Governing law and disputes

These Terms are governed by the laws of the operator’s principal place of business, without regard to conflict-of-law rules, and any disputes will be resolved in the courts located there. 16. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “last updated” date above. Material changes may also be communicated in the app. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17. General

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
